Who we are
LayerOps LTD ("LayerOps", "we", "us") is a company registered in England and Wales, registered address 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, company number 17151973. These terms govern your use of the LayerOps service at layerops.ai and app.layerops.ai.
By creating an account or using the service you agree to these terms. If you are creating a workspace on behalf of a business, you are agreeing on that business's behalf and confirming you have the authority to do so.
The service
LayerOps is a governed MCP (Model Context Protocol) endpoint over your MSP stack. You connect your vendor tools once, LayerOps holds the credentials, enforces who can do what, and meters every call. You bring your own AI client: Claude, Claude Code, Cursor, or any tool that speaks MCP. There is no chat built into LayerOps itself.
LayerOps does not train any model on your vendor data, and does not read the contents of your vendor systems beyond what is needed to execute a tool call your own AI client makes and to return the result to it. The one exception is custom-integration discovery, where a single model call reads vendor API documentation you supply to work out its endpoints. That call never sees your vendor credentials or data, and OpenAI does not retain it (see our privacy notice).
Accounts and workspaces
An account belongs to a person. A workspace belongs to a business and holds its connections, credentials, approvals and billing. Every workspace has an owner, who is responsible for who else is invited and what role they hold.
You are responsible for keeping your account credentials and any API keys you mint confidential, and for everything that happens under your account. Tell us immediately at [email protected] if you suspect a key or password has been compromised.
Acceptable use
You must not use LayerOps to:
- Connect to, query, or act against a vendor system you are not authorised to access.
- Attempt to bypass an approval gate, a role-based permission, or any other control the service enforces.
- Probe, scan, or attempt to disrupt the service or another workspace's data.
- Resell or sublicense access to the service without our written agreement.
- Use the service in a way that breaches any law applicable to you.
Your responsibilities
You own the vendor credentials you connect, and you own the actions your AI client proposes through LayerOps. LayerOps enforces role-based access and holds every write for approval unless your workspace has set up an allow rule for that specific class of change, but a human in your workspace is always the one who approves a write or sets up the rule that lets it run automatically.
You are responsible for who you grant approval rights to, and for reviewing what an allow rule covers before you create one, particularly a rule that permits deletion.
Fees, trials, renewals and cancellation
Starter, Team and Enterprise are billed monthly or annually in advance, at a flat rate per workspace, not per seat. Starter and Team come with a 14-day free trial; Enterprise does not. Current prices are shown on our pricing page.
Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You manage and cancel your subscription through the Stripe customer portal, linked from Settings > Billing. If you cancel, your workspace keeps its plan's access until the end of the period you have already paid for, then moves to Starter.
On a downgrade, integrations, runbooks and roles beyond the new plan's limits stay in place and keep working, but you cannot create new ones until you are back under the limit. If your workspace has more than one member, existing members keep access for 7 days after a downgrade to give you time to remove the excess.
Fees already paid are not refunded except where required by law.
Availability
We aim to keep LayerOps available and make reasonable efforts to fix problems quickly, but Starter and Team come with no uptime service level agreement. If your business needs a contractual SLA, contact [email protected] about Enterprise.
Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, our total liability to you arising out of or in connection with these terms, whether in contract, tort or otherwise, is capped at the fees you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential loss, loss of profit, loss of data, or loss of business, even if we were told it was possible.
We are not liable for the accuracy of a vendor API's response, or for an action your AI client proposes and a human in your workspace approves. The approval is yours to give.
Termination
You can close your workspace at any time from Settings. We can suspend or terminate a workspace that breaches acceptable use, that we reasonably believe poses a security risk to us or another customer, or that has unpaid fees outstanding after we have given notice.
On termination, we delete your workspace's data in line with the retention periods in our privacy notice.
Changes to these terms
We may update these terms from time to time. If a change is material, we will email the address on your account before it takes effect. Continuing to use LayerOps after a change takes effect means you accept it.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
